(NON-STOCK) AMENDED ARTICLES OF INCORPORATION OF MICROSYSTEMS COLLEGE FOUNDATION, INC. (Formerly MICROSYSTEMS INSTITUTE OF TECHNOLOGY (DAET, CAM. NORTE), INC.) Name of Corporation KNOW ALL MEN BY THESE PRESENTS: The undersigned incorporators, all of legal age and a majority of whom are residents of the Philippines, have this day voluntarily agreed to form a non-stock and non-profit foundation under the laws of the Republic of the Philippines; THAT WE HEREBY CERTIFY: FIRST: That the name of said corporation shall be: MICROSYSTEMS COLLEGE FOUNDATION, INC. (Formerly Microsystems Institute of Technology (Daet, Cam. Norte), Inc.) (AS AMENDED ON NOVEMBER 02, 2008) SECOND: That the purpose or purposes for which such corporation is incorporated are: 1. To provide ladderized post-secondary courses leading to a) Baccalaureate degrees, b) Technical courses, and c) Short-term courses; 2. To provide computer education through training, seminars, lectures, hands-on-training and other related services; 3. To contribute in the realization of educational development and environmental conservation through instructions, seminars, symposia and training courses; 4. That the registration of Articles of Incorporation of the Corporation shall not be construed as a grant or permit to operate the school/institution of learning shall be subject to existing laws, rules and regulations, policies and standards of the Technical Education and Skill Development Authority (TESDA) and Commission on Higher Education (CHED). (Please check appropriate box) EIGHTH: That no part of the income which the association may obtain as an incident to its operation shall be distributed as dividends to its members, trustees or officers subject to the provisions of the Corporation code on dissolution. The trustees shall not receive any compensation and in case of dissolution, assets of the corporation shall be transferred to similar institution or to the government. Any profit obtained by the association as a result of its operation, whenever necessary or proper shall be used for the furtherance of the purposes enumerated in Article II, subject to the provision of Title XI of the Corporation Code of the Philippines. (as amended on February 15, 2013) NINTH: That Roberto R. Alcantara has been elected by the members as Treasurer of the Association to act as such until his successor is duly elected and qualified in accordance with the by-laws, and that as such Treasurer, he has been authorized to receive for and in the name and for the benefit of the corporation, all subscription (or fees) or contributions or donations paid or given by the members. TENTH: That the association manifests its willingness to change its corporate name in the event another person, firm, or entity has acquired a prior right to use the said firm name or one deceptively or confusingly similar to it. ELEVENTH: That the association shall comply with the requirements for non-stock corporations in the course of its operation.
