WYOMING AUTOMOBILE RACING CLUB, INC. BY-LAWS JANUARY 7, 2009

ARTICLE I The name of this organization shall be the Wyoming Automobile Racing Club, Inc

ARTICLE II The object of this organization shall be: A. To conduct and /or /or support honest, honest, clean clean automobile automobile racing racing worthy of public public confidence and support. B. To offer all all enthusias enthusiasts ts of the the sport a common common place of discussion. discussion. C. To be involve involved d with co commu mmunit nity y support. support.

ARTICLE III Membership Section 1.

Qualifications

Membership shall be available to all persons who are interested in the  purposes of this club and are willing to abide by the laws of this corporation. B. Any member member may have have there members membership hip revoked revoked if they do do not abide abide by the rules and regulations as set forth by these By-Laws. Lifetime members may not have their membership revoked.

Section 2.

Classifications

Jr. Member: 1. Jr. Membership shall be granted to qualified persons from the age of one (1) day-the day of their fourteenth (14) birthdays if they are not a driver  and tenth (10) birthdays if they are a driver, upon application to the Board of Directors. The annual dues shall be five (5) dollars and are payable at the time of application for membership. A. Gener General al Memb Member er:: 1. The title title lifeti lifetime me memb member er may be conferred conferred upon a person person who has demonstrated outstanding and distinguished service to the club and sport of auto racing. 2. Any member member in in good standing standing may may nominate nominate a candidat candidatee for the the title title of  lifetime member. 3.  Nominations must be in writing with an explanation of o f merits to be

submitted to the Board of Directors prior to the next general meeting. The

 

 board of directors shall meet to discuss the merits and contributions of the nominees. The board of directors must recommend the nominees by a majority vote of said board. Upon recommendation of the board and a majority vote of the membership in attendance at a general meeting, the title shall be conferred upon the nominee. no minee. 4. If a nominati nomination on for lifet lifetime ime member member is not not approved approved by the the board of  of  Directors, the nominees must wait one (1) year before being nominated again.

The title of Hall of Fame member may be conferred upon any person who has been involved in the WARC for more then five (5) years. 2. Any member member in good standing standingss can nominate nominate a candida candidate te for the the title title of  Hall of Fame member. 3.  Nominations must be in writing with an explanation of merits to be submitted to the Board of Directors prior to the April meeting of the current calendar year. The Board of Directors shall meet to discuss the merits and contributions of the nominees. The board of directors must a.

Section 3. Obligations A. Members Members will abide abide by all rules and and regulations regulations of the club club as set forth in in the By-Laws. B. Any member member desiring desiring to resign resign from from the club club may do so but but there will will be no refund of the membership dues. C. ARTICLE IV OFFICERS Section 1. Officers A. The Board of Directors Directors shall shall consist consist of President, President, Vice President President,, Treasurer  Treasurer  and Secretary and seven (7) board members Section 2. Failure to do so may result in possible legal action as determined by Wyoming Statue Law pertaining to non-profit organizations. C. In case of emergency. emergency. Vacancies. If there is a vacancy in the office of president, the vice president will become  president. At the next regularly scheduled meeting, there will be an election for vice president. If there is a vacancy in any other office, members will fill the vacancy at the next regular meeting.

Section 6. Removal from Office A. Officers Officers can be removed removed from office office with with cause by a two-thirds two-thirds vote vote at a regular meeting where previous notice has been given.

Shall act as chair person of the board and or the spokesperson of said organization. E. Perform such duties as he/she may be called upon for and other general duties as are customarily performed by the chief officer of such club. F. successors all material pertaining to their office within ten (10) days after  release from office. Section 2. Vice-President shall: A. Assume Presidency upon resignation of the president. Shall perform the duties described in Roberts rule of order in addition to those specified by these by-laws. Board members shall deliver to their successors all material pertaining to their office within ten (10) days after their release from office.

Section 3 Treasurer Shall: A. The Board of Directors shall:

 

A. Have control control of the funds, funds, investments investments and properti properties es of the club, real real and  personal, where not otherwise provided by law. B. Meet at such time and place as may be directed by the president by the President or upon request of any of the Executive board members. Seven (7) members shall constitute a quorum at a board mtg. D. Have general supervision over the affairs of the organization in the interim  between meetings providing none of these acts conflict with the by-laws. F. See that the objectives of the organization o rganization are accomplished, and the by-laws and rules are enforced. G. ARTICLE VI MEETINGS Section 1 Regular meetings A. The regular regular meeting meeting of the WARC is the first first Friday Friday of every every month, month, OctoberOctoberMay and in July and September. Meetings SectionA. 2. TheSpecial president president may call call a special special meeting; meeting; or, five (5) members members submitt submitting ing in written request to the secretary can call a special meeting. Previous notice of  the meeting shall be sent to the members at least seven (7) days prior to the meeting. The notice can be given by e-mail, postal mail, telephone or fax.

Section 3 Quorum A. The quorum for for a board of Directors Directors meeting meeting shall shall be seven (7). (7). A quorum for a general meeting shall be fifteen (15).

ARTICLE VII PARLIAMENTARY AUTHORITY

 

The rules contained in Roberts Rules of Order: Simplified and Applied shall govern meetings where they are not in conflict con flict with the by-laws, rules of order, or other rules of  the WARC.

ARTICLE VIII DISSOLUTION

Previous notice and a two/thirds vote can dissolve this club. The vote must be by ALL current Active, Lifetime and hall of Fame members. All outstanding bills will be paid, and the remaining money will be returned to the members, or, can be given to the charity of their choice.

ARTICLE IX AMENDMENT OF BYLAWS

These bylaws can be amended at any regular or special meeting providing that previous notice was given at the prior meeting in writing and then sent to all members of the club  by the secretary. Previous notice can be sent by postal mail, e-mail, or fax.
