GENERAL POWER OF ATTORNEY THIS DEED OF GENERAL POWER OF ATTORNEY is made this the Day of , Two thousand Thirteen (2013), BY : ~ 1) Ghan Shyam Agarwal presently residing at 2-F, Mayur Apartments, 2, Mayurbhanj Road, Kolkata – 700 023 ,2) Sri Radhey Shyam Agarwal presently residing at 4-D, Suvarn Apartments, 94 N S C Bose Road, Kolkata – 700 040, 3) Santosh Kumar Agarwal presently residing at 48/5, Anand Villa, 135, Jessore Road, Kolkata , 4) Pramod Kumar Agarwal presently residing at 333/A/1 Jessore Road, Kolkata – 700 089, all Sons of Late Shambhu Dayal Patwari, all by faith – Hindu, by Occupation- Business, Nationality – Indian, 5) Ms Pushpa Agarwal presently residing at 8-B, Ideal Tower, 57, Diamond Harbour Road, Kolkata – 700 023, 6) Ms Madhu Saraf presently residing at 11-A, Kalakar Street, Kolkata – 700 007, both Daughters of Late Shambhu Dayal Patwari, all by faith – Hindu, by Occupation- House wife, Nationality – Indian, 7) Ms Anguri Devi Patwari presently residing at 333/A/1 Jessore Road, Kolkata – 700 089, Wife of Late Shambhu Dayal Patwari, by faith – Hindu, by Occupation- House wife, Nationality – Indian, all jointly hereinafter called and referred to as the “PRINCIPALS” WHEREAS all the principals herein and the Attorneys of this Deed are Owners and Possessors and lawfully seized and possessed of and sufficiently entitled to ALL THAT piece or parcel of ROSALI ABBAL (Agricultural land) measuring Total Raqba or area 19 Karnal 11 Marla and in Khewat No. 406, Khatani No. 597, Khasara No. 45// 17/2(2-0),18(8.0),23(7-11),24/1(1-18), 507(0-2) , Kita - 5, through Jamabandi Year 2008-09, in Village – Nangal Chaudhry, Tehsil Narnaul District – Mahendra Garh ,in the State of Haryana, including

all rights of ingress and egress and all Easement rights, in our respective or individual share, more fully described in the SCHEDULE hereunder written and hereinafter called and referred to as “the said Scheduled Property”, being free from all encumbrances, charges, liens, lispendens, acquisition, requisition, attachment and defects NOW THIS DEED WITNESSETH AS FOLLOWS : ~ That we, all the Principals herein, are residing far away from the said Scheduled Property and We are very busy in our respective Business, therefore it is very difficult for us to look-after, manage, control the said Scheduled Property. It is expedient to appoint, nominate an Attorney to look-after, manage, control the said Scheduled Property properly. That we do hereby appoint, nominate, empower and constitute SRI BABULAL AGARWAL presently residing at 50 B, Orphangunge Market Road, Kolkata – 700 023 son of Late Shambhu Dayal Patwari, by faith – Hindu, By Occupation – Business, Nationality – Indian, as our true and lawful “ATTORNEY” for all or any of the following acts, deeds and things, in our names and on our behalf, in respect of the said Scheduled Property, in our respective or individual share : ~ 1) To do, sign, execute, perform, appear, present, submit all petitions, plaints, solenamas and all kinds of official documents, correspondences, receipts and to borrow money from any Bank or Banks and –or from any moneylending Organization/s or Institution/s and to receive money order, registered letters whatsoever in our names and on our behalf and to file or submit any of those before any Court or Courts and in all offices and to do all needful and lawful acts, in our names and on our behalf, in respect of the said Schedule Property . 2) To look-after, manage, control, supervise, execute, perform, present, submit, deal with the said Scheduled Property and to appear in all cases, disputes, litigations, suits in all Civil Courts, Criminal Courts, Judges’ Court, and in all offices of the Survey Settlement offices, Compensation office to receive monetary award granted as compensation, Income Tax Office, Sale Tax Office, Gift Tax Office, Commercial Tax Office, Wealth Tax Office, Panchayet Offices and in all State Government Offices, in all Central Government Offices including all Offices to do, sign, execute, appear, perform all lawful and needful acts, deeds, in respect of the said

Scheduled Property in our names and on our behalf and to pay Land Revenue, Water Tax, Panchayet Tax and all other out-going charges, Legal charges whatsoever, in respect of the said Schedule Property, in our names and on our behalf. 3) To sell, convey, delivery of possession, mortgage, lease, including all kinds of transfer in respect of the said Schedule Property or any part or portion thereof, in our names and on our behalf, to any party or parties of our said Attorneys’ own discretion and choice and to do, sign, execute, appear, perform, present, submit and register all Deeds of Sale, Deeds of any kinds of Transfer, Deeds of Agreement for Sale and / or all kinds of Agreements and all Deeds, documents, before any Registration Office or Offices, in our names and on our behalf, in respect of the said Scheduled Property or any part or portion thereof. After registration to sign, execute, Original receipts and hand-over the same to the Party or Parties concerned AND to deliver the peaceful vacant possession of the said Scheduled Property or any part or portion thereof to the Party or Parties concerned, in our names and on our behalf. 4) To receive, admit, acknowledge all Consideration Money, Booking money, Earnest money, in any transaction and to give or to render valid receipts, in respect of the said Schedule Property, in our names and on our behalf. 5) To do, sign, execute, appear, perform, present, submit and register all Deeds, documents which our said Attorneys shall consider fit and proper, in our names and on our behalf, in respect of the said Scheduled Property. 6) To appoint Advocates, counsels, pleaders, whatsoever and to discharge or dismiss them whenever necessary, in our names and on our behalf. 7) To mutate our names in the office of Land revenue Office, Panchayet Office and in all State Government offices, in all Central Government offices including all Offices and to pay all Taxes, Rents, Land Revenues, including all concerned works and to do, sign, execute, appear, perform all lawful and needful acts, deeds, in respect of the said Schedule Property, in our names and on our behalf. 8) To show, to negotiate, to collect and to satisfy the intending Purchaser or Purchasers, in our names and on our behalf, with our all original registered Deeds, Indentures, Maps, documents and all other Deeds and documents relating to

our all Rights, Title, Interest, Possession, in respect of the said Schedule Property. 9) To submit or deposit Map or Plan to the Competent Authority or concerned Office for sanction, in our names and on our behalf and to collect or obtain the same from the said offices and to do, sign, execute, appear, perform, present, submit all Lawful and needful acts, deeds, in respect of the said Scheduled Property, in our names and on our behalf. 10) To let out, Lease, License, Mortgage or to permit to stay, in our said Scheduled Property or any part or portion thereof to any Party or Parties, as our said Attorneys shall think and proper AND to collect rents, Booking money, Premium, License Fees respectively from the said concerned Party or Parties AND to issue receipts for the same, in our names and on our behalf. 11) To take any legal action or to defend any legal proceedings, shall arise in any matter or matters, in respect of the said Scheduled Property, in our names and on our behalf. 12) All the Sale proceeds have to be deposited in the Principals’ Bank account. 13) No Ownership right will be devolved upon the Attorney, in respect of the said Scheduled Property. 14) Be it expressly stated that by this Power of Attorney No Development work or Construction work shall be made by the Attorney in the said Scheduled Property. Further declare that the Attorney shall not obtain or have the Power for development Power on such Properties. 15) That By this Power of Attorney no monetary transaction has been made. 16) That in respect of the said Scheduled Property, all costs and expenditure shall be borne by the principals and all income shall be received by the principals. AND GENERALY our said Attorney shall do, sign, execute, perform, appear, present, submit, and register, all needful and lawful acts, deeds, in respect of the said Scheduled Property, in our names and on our behalf. That we do hereby RATIFY and CONFIRM all acts of our said Attorney shall lawfully do, sign, execute, perform, appear, present, submit and register, in respect of the said Scheduled Property, by virtue of

this Deed of General Power of Attorney, in our names and on our behalf. THE SCHEDULE ABOVE REFERRED TO IN OUR RESPECTIVE OR INDIVIDUAL SHARE of ALL THAT piece or parcel of ROSALI ABBAL (Agriculture Land) measuring Total Raqba or Area a little more or less 19(Nineteen) Karnal 9 Marla and RUDI land measuring 2 (Two) Marla lying in Khewat No 406, Khatani No 597, Total Raqba 19 Karnal 11 Marla, Khasara No 45// 17/2(2.0),18(8.0),23(7.11),24/1(1.18),507(0.2) through Jamabandi Year 2008-2009, in Village – Nangal Choudhary, Tehsil - Narnaul, District – Mahendra Garh , in the State of Haryana, including all rights of ingress and egress and all Easement rights, are the said Scheduled Property described herein.
