Johnson & Johnson Medical Device Company Intelligence Report
Johnson & Johnson is a holding company that comprises more than 250 healthcare companies located in 60 countries throughout the world. The company claims to be the world’s largest medical device company, the world’s fifth-largest biologics company and the world’s eighth-largest pharmaceutical company. The group’s structure is based around three business segments – Medical Devices & Diagnostics, Pharmaceutical and Consumer. The Medical Devices & Diagnostics segment is divided into seven franchises that produce a broad range of products including Cordis’ circulatory disease management products; DePuy’s orthopaedic joint reconstruction, spinal care, sports medicine and neurosurgical products; Ethicon’s sutures, tissue repair and reinforcement products, women’s health, aesthetics and conditions of the ear, nose and throat products; Ethicon Endo-Surgery’s minimally-invasive surgical products and solutions for the reduction of healthcare-associated infections; LifeScan’s blood glucose monitoring and insulin delivery products; Ortho-Clinical Diagnostics’ professional diagnostic products; and Vistakon’s disposable contact lenses. The Pharmaceutical segment includes products in the following therapeutic areas: anti infective, antipsychotic, cardiovascular, contraceptive, dermatology, gastro-intestinal, haematology, immunology, neurology, oncology, pain management, urology and virology. Its most prominent brands include Remicade, Procrit (or Eprex outside of the US), Levaquin, Risperdal Consta, Concerta, Aciphex/Pariet, Duragesic (or Durogesic outside of the US), Velcade, Prezista and Invega. The Consumer segment includes a broad range of products used in the Johnson’s-branded baby care, skin care (the Aveeno, Clean & Clear, Johnson’s Adult, Neutrogena, RoC, Lubrider, Dabao and Vendôme lines), oral care (including the Listerine and Reach products), wound care (Band-Aid and Purell brands) and women’s healthcare (Carefree, Stayfree and Vania-branded products) fields, as well as nutritional and over-the-counter pharmaceutical products, such as Splenda sweetener, Tylenol acetaminophen products, Sudafed cold, flue and allergy products, Zyrtec allergy products, Motrin IB ibuprofen products and Pepcid AC Acid Controller from Johnson & Johnson Merck Consumer Pharmaceuticals Co. This report mainly focuses on the activities and performances of Johnson & Johnson’s Medical Devices businesses, which hold the No 1 or 2 market positions in the majority of their markets. In addition to advancing its product pipelines through internal development, alliances or significant equity investments, Johnson & Johnson has acquired several companies to enhance the growth and create long-term value of its Medical Devices & Diagnostics business. Typical recent examples include the acquisitions of: Micrus Endovascular, a developer and manufacturer of minimally-invasive devices for haemorrhagic and ischaemic stroke; Finsbury Orthopaedics, a manufacturer and global distributor of orthopaedic implants; Acclarent, a medical technology company dedicated to designing, developing and commercialising devices that address conditions affecting the ear, nose and throat; Gloster Europe, a developer of area-decontamination technologies to help prevent healthcare-acquired infections; and Mentor, a supplier of medical products for the aesthetic market. At the beginning of 2010, Johnson & Johnson determined that the products produced by Ethicon Endo-Surgery’s Breast Care division were outside the scope of its future growth platforms and subsequently sold this business to Devicor Medical Products. Another significant divestiture was the sale of Ethicon’s Professional Wound Care division in 2008. In addition, in December 2008, Johnson & Johnson’s Independence Technology subsidiary announced that it would cease sales and marketing of its principal product, the iBOT Mobility System, in January 2009. The company said demand for the iBOT system had not proven sufficient to create a sustainable market. The company will continue to provide technical support and service to iBOT Mobility System owners until the end of 2013, at which time the company is expected to close.

In December 2010, it was widely speculated that Johnson & Johnson was behind a £7 billion takeover offer for Smith & Nephew, a UK-based producer of joint replacements, wound dressings and keyhole surgery devices. Smith & Nephew is said to have rejected the offer on the basis that it was too low. A month later, it was also suggested that Johnson & Johnson could also enter the bidding for Smiths Medical, which specialises in airway management, needle protection, ambulatory infusion, medication delivery, patient monitoring and temperature management products, after its parent confirmed that it had rejected a US$2.45 billion offer from an undisclosed suitor. The interest in Smith & Nephew and Smiths Medical comes amid expectations that the volume of mergers and acquisitions activity will rise in 2011 as companies begin to spend the cash they have accumulated during three years of dramatically-reduced takeover activity. In 2010, Johnson & Johnson reported group net earnings of US$13.3 billion on sales of US$61.6 billion. The group has approximately 114,000 employees worldwide. The Medical Devices & Diagnostics business generated US$24.6 billion in sales in 2010, representing 40% of group sales. Separate profiles are published on the following Johnson & Johnson franchises – Cordis, DePuy, Ethicon, Ethicon Endo-Surgery, LifeScan and Vistakon.
