Covert Affairs ‘Sassy Spy’ Watch & Win Contest Terms and Conditions 1. The organiser of this ‘Covert Affairs – Sassy Spy’ Watch & Win Contest (“Contest”) is NBCU Global Networks Asia Pte Ltd ("NBCU"). The Contest is only open to subscribers of the “DIVA Universal” channel in Asia (excluding Philippines) Directors, officers and employees of NBCU or its affiliates, agents, advisers, advertising and promotional agencies, associated vendors and their respective immediate families are not eligible to participate in the Contest. Multiple entries per person are allowed. If a participant is below 18 years old, s/he must obtain permission from a parent or a legal guardian before participating in the Contest. NBCU reserves the right to invalidate or reject any entries or the prize winner(s) if the appropriate permission is or was not obtained. Each participant must log on to the www.divauniversal.asia website between 7 April 2011 and 11:59 pm on 4 May 2011 (Singapore time) (the “Contest Period”) and submit an entry answering questions relating to “Covert Affairs”. There will be 2 components of entry. The participant must first select a multiple-choice answer and then answer an open ended “Tell us why” question with 50 words or less. The Contest consists of 4 weekly contests (“Weekly Contests”) conducted over 4 weeks comprising the Contest Period. Each Weekly Contest will consist of (i) a promotion period commencing on the Weekly Entry Period Start Date and ending on the Weekly Entry Period End Date (each, a “Weekly Entry Period”), as detailed in the chart below and (ii) a draw (each, a “Weekly Drawing”), conducted on the Weekly Drawing Date specified in the chart below, from among all eligible entries received during the corresponding Weekly Entry Period. Each week, 1 winner will be selected to win a prize. Entries for each Weekly Contest must be received by the “Weekly Entry Period End Date” for that particular Weekly Contest as specified in the chart below. Entries for the last Weekly Contest (Weekly Contest 4) must be received by NBCU by 11:59 pm on 4 May 2011 (Singapore time). The selection process for the prizes will be conducted by NBCU. On or about the “Weekly Drawing Date” for each Weekly Contest, the corresponding number of weekly winners (“Weekly Winners”) will be selected from among all eligible entries received during the corresponding Weekly Entry Period by NBCU – see chart above for specific Weekly Drawing Dates and corresponding Number of Weekly Winners for each particular Weekly Contest. There will be 1 weekly winner for each Weekly Contest (“Weekly Winners”), who will receive one Apple iPad 2 Model: Wi-Fi + 3G, 16 GB with built in front and back camera each (each a “Weekly Prize”). The prizes will be arranged by NBCU and/or its supplier(s). All expenses not expressly included in the Prize as set out above are the responsibility of the Prize Winner and NBCU will not be responsible for any of these expenses. All taxes and other expenses, costs, fees or taxes (including custom duties) associated with the shipment, receipt or fulfilment of any prize is the sole responsibility of the winners. The Weekly Winners will be notified by phone followed by an official letter from NBCU. All participants undertake to comply with the publicity requirements of NBCU and grant NBCU and its affiliates the irrevocable and perpetual non-royalty right to show, announce, feature, publicise, on the “DIVA Universal” channel and/or in all other media, all materials submitted by the participants including their names, ages, city of residence, likeness, other details and particulars and all footage recorded before, during or any other occasion throughout this Contest and prize fulfilment. For the avoidance of doubt, the winners acknowledge that NBCU shall be under no obligation to use or broadcast any of the footage of the winners and their companions (if applicable). Award of the Prize is conditional upon the Weekly Winners agreeing to and signing the release forms and/or agreements and/or any additional documentation required by NBCU. Failure to complete, sign, and return any such documentation to NBCU in a timely manner will result in disqualification of the entry and the participant, and forfeiture of the prizes. Each Weekly Winner must produce his original official letter from NBCU and his identification documentation (for example, identity card or passport) when redeeming the prize. Prizes are not non-transferable and cannot be exchanged for cash or other benefit-inkind. NBCU reserves the right to replace any prize with another prize of a similar value. NBCU reserves the right to redistribute any unclaimed prizes to other participants or donate any unclaimed prizes to any charitable organisation. NBCU shall not be responsible or liable for any repair, servicing or warranty issues relating to any prize or the uses thereof. NBCU shall not be responsible for any damage to or loss of any prize during the shipment of the prize. Personal information of participants will be collected to enable NBCU to administer and promote this Contest and to contact the prize winners of the prizes, and may also be provided to other third parties assisting NBCU in this regard, including without limitation sponsors of this Contest, prize suppliers and deliverers, and authorities which regulate this Contest (if applicable). If a participant does not truthfully provide all the requested personal information, NBCU reserves the right to disqualify or reject his entry. NBCU, its affiliates, agents and their respective directors, officers and employees will not be responsible or liable for: (a) any losses, damages, liabilities, deaths, injuries, claims, demands and/or proceedings (collectively, the “Liabilities”) incurred or suffered by any party due

to any delay and/or failure (including lost entries, mail delay or loss) in receiving and submitting the entries as a result of any communication error, interruption, human error and/or failure by NBCU and/or any third party; (b) any Liabilities incurred or suffered by any participant or his authorised representatives resulting from their participation in this Contest or fulfilment of any prize; any error (including error in notification of winners), omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, alteration of, or unauthorised access to entries, or entries lost or delayed whether or not arising during operation or transmission; any changes made by NBCU or any third party supplier, or the organiser, administrator or sponsors of this Contest; and/or any Liabilities incurred or suffered arising from any act beyond their control or for any act, omission or default of any third party.

Without prejudice to the foregoing, the redemption of any prize shall constitute a purchase of goods or services by the person redeeming the prize from the supplier supplying the redeemed goods or services, and NBCU assumes no liability or responsibility for the acts or defaults of the supplier or for any non-delivery, nonperformance or defects in the redeemed goods or services. NBCU is not an agent of the supplier. Any dispute about the quality or performance must be resolved directly with the supplier. The use of the redeemed goods or services is subject to such other terms and conditions which may be imposed by the supplier supplying the goods or services. 19. NBCU reserves the right to disqualify any participant that NBCU determines is tampering with the entry process or the operation of this Contest or is engaging in any conduct that is detrimental or unfair to NBCU, this Contest or any other participant, acting in breach or potential breach of these Terms and Conditions and/or NBCU’s website use and access agreement, or is otherwise ineligible to participate in this Contest. NBCU reserves the right to cancel, modify, suspend or delay this Contest. NBCU may assign and transfer any of its rights and obligations under these Terms and Conditions to any third party. NBCU’s decision is final and no correspondence will be entertained. NBCU reserves the right to amend these Terms and Conditions at any time and without notice. Participation in this Contest shall constitute acceptance of these Terms and Conditions and the amendment thereof. This Contest and these Terms and Conditions shall be governed by Singapore laws, without regard to the conflict of laws. Each participant irrevocably submits to the exclusive jurisdiction of the Singapore courts. These Terms and Conditions are not intended to confer rights on any third party, whether pursuant to the Contracts (Rights of Third Parties) Act (Cap 53B) or otherwise, and no third party shall have any right to enforce any provision of these Terms and Conditions.
